Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Onada Innovative LLC, a limited liability company registered in the State of Maryland, United States of America ("Company," "we," "us," or "our"), governing your access to and use of OnadaDocs ("the Platform," "the Service").

OnadaDocs is a document creation, management, and e-signature platform providing AI-powered document generation, branded letterhead application, a rich text editor, a reusable template library, and Smart Signing with legally binding e-signatures and real-time audit trails.

By registering for an account, subscribing to a plan, or otherwise accessing or using OnadaDocs, you affirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

1. Eligibility

By using OnadaDocs, you represent and warrant that:

• You are at least 18 years of age
• You have the full legal capacity and authority to enter into these Terms, either on your own behalf or on behalf of the organization you represent
• If acting on behalf of an organization, you have authority to bind that entity to these Terms
• You are not prohibited from using the Service under any applicable federal, state, or local law
• All information you provide to us is accurate, current, and complete

2. Account Registration and Security

To access OnadaDocs, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information and keep it updated
• Choose a strong password and keep your login credentials strictly confidential
• Not share your credentials with any third party or allow unauthorized access to your account
• Notify us immediately at support@onadadocs.com if you suspect any unauthorized access to or use of your account
• Be solely responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain false or misleading information or that are used in violation of these Terms.

3. Description of Services

OnadaDocs provides the following core services, subject to your subscription plan:

3.1 AI Document Builder

An AI-powered feature that generates professional document drafts, including proposals, contracts, employment agreements, and other business documents, based on prompts you provide. Generated drafts are starting points; you are responsible for reviewing and verifying all AI-generated content before use.

3.2 Rich Text Editor

A full-featured document editor supporting rich text formatting, media embedding, link insertion, and auto-saving, for creating and editing documents and templates directly on the Platform.

3.3 Brand Kit and Letterhead

A Brand Kit feature that allows you to upload your company logo, letterhead, and brand colors. Once configured, OnadaDocs automatically applies your brand assets to all documents you create, ensuring consistent professional presentation.

3.4 Template Library

A library for creating, saving, and reusing document templates across your account or team. Templates created by you remain your property and are accessible to team members according to your access configuration.

3.5 Smart Signing

An e-signature feature that allows you to request, apply, and manage legally binding electronic signatures on documents. Smart Signing includes real-time audit trails that capture signer identity, timestamp, and IP address. You are responsible for ensuring that your use of Smart Signing complies with applicable electronic signature laws in your jurisdiction.

3.6 Team and Access Management

For Starter, Business, and Enterprise plans, OnadaDocs provides tools to add team members, assign roles, manage departments, and configure access controls. Account administrators are responsible for managing their team's access and ensuring team members comply with these Terms.

3.7 API Access

Enterprise plan subscribers have access to the OnadaDocs API for custom integrations. API usage is subject to the rate limits and technical documentation published at onadadocs.com. We reserve the right to suspend API access for misuse or excessive usage.

4. Subscription Plans and Billing

4.1 Plan Tiers

OnadaDocs offers the following subscription plans:

• Free Plan: 5 documents per month, 3 templates, 5 e-signature requests, 3 AI generations per month, custom letterhead, available at no cost
• Starter Plan: 30 documents per month, 15 templates, 30 e-signature requests, 15 AI generations per month, up to 3 users, no watermark, $9 per month
• Business Plan: Unlimited documents, templates, and e-signatures, 50 AI generations per month, up to 10 users, department access control, priority support, $29 per month
• Enterprise Plan: All features unlimited, unlimited users, unlimited AI generations, audit trail and compliance tools, API access, dedicated account manager, custom integrations, $79 per month

Annual billing is available at a 20% discount. Plan features are subject to change with reasonable advance notice.

4.2 Payment Processing via Stripe

All payments on OnadaDocs are processed by Stripe, Inc. When you subscribe to a paid plan, you will provide payment information directly to Stripe through its secure payment interface. By submitting payment information, you agree to Stripe's Terms of Service and Privacy Policy. Onada Innovative LLC does not store, access, or process raw payment card data. We receive only tokenized references and transaction status from Stripe.

By subscribing, you authorize Stripe to charge your designated payment method for the applicable subscription fee at the start of each billing period until your subscription is cancelled.

4.3 Auto-Renewal

Paid subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us at support@onadadocs.com.

4.4 Free Trials

We may offer free trial periods for paid plans. If a payment method is collected at trial sign-up, you authorize us to charge your payment method through Stripe upon expiration of the trial unless you cancel before the trial ends.

4.5 Refunds

Subscription fees are generally non-refundable. Refunds may be issued at our sole discretion in cases of documented billing errors or extenuating circumstances. To request a refund, contact us at support@onadadocs.com within 7 days of the charge.

4.6 Price Changes

We reserve the right to modify subscription pricing. We will provide at least 30 days' advance notice of pricing changes via email or a prominent notice on the Platform. Your continued use of a paid plan after the effective date of a price change constitutes your acceptance of the new pricing.

5. Acceptable Use Policy

You agree to use OnadaDocs only for lawful purposes and in accordance with these Terms. You must not use the Platform in any way that:

5.1 Prohibited Content

• Violates any applicable federal, state, local, or international law or regulation
• Infringes the intellectual property, privacy, or other rights of any third party
• Contains fraudulent, deceptive, misleading, or defamatory material
• Involves the unauthorized collection or processing of third parties' personal data
• Transmits malware, viruses, ransomware, or any other harmful or malicious code
• Creates or distributes forged, falsified, or fraudulent legal documents

5.2 Prohibited Conduct

• Attempting to gain unauthorized access to the Platform, its underlying infrastructure, or other users' accounts
• Reverse engineering, decompiling, or otherwise attempting to extract the source code or underlying algorithms of OnadaDocs
• Using automated means, bots, scrapers, crawlers, or scripts, to access or interact with the Platform without prior written consent from us
• Interfering with or disrupting the integrity, security, or performance of the Platform or its servers
• Circumventing or attempting to circumvent any access controls, usage limits, or security features of the Platform
• Misrepresenting your identity or affiliation, or impersonating any person or organization
• Reselling, sublicensing, or commercially exploiting the Platform or its features without our prior written authorization

6. User Content and Intellectual Property

6.1 Your Content

You retain full ownership of all documents, templates, Brand Kit assets, and other content you create, upload, or store on OnadaDocs ("User Content"). By uploading or creating User Content, you grant Onada Innovative LLC a limited, non-exclusive, royalty-free, worldwide licence to store, process, transmit, and display your User Content solely as necessary to provide the Service to you. This licence terminates when you delete User Content or close your account.

6.2 AI-Generated Content

Where you use the AI Document Builder, the drafts generated based on your prompts are provided as a tool to assist your document creation. You are solely responsible for reviewing, editing, and verifying any AI-generated content before use. We make no representation that AI-generated content is legally accurate, complete, or suitable for any particular purpose.

6.3 Our Intellectual Property

The OnadaDocs Platform — including all software, interfaces, designs, trademarks, logos, and original content created by us — is the exclusive property of Onada Innovative LLC and is protected by United States and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property, including the right to use our trademarks or brand identifiers.

6.4 Feedback

If you submit feedback, ideas, or suggestions about the Platform, you grant Onada Innovative LLC a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose, including product development, without obligation or compensation to you.

7. E-Signatures and Legal Validity

OnadaDocs provides e-signature functionality through the Smart Signing feature. Electronic signatures generated through OnadaDocs are intended to comply with the Electronic Signatures in Global and National Commerce Act (ESIGN Act), 15 U.S.C. § 7001 et seq., and the Uniform Electronic Transactions Act (UETA) as adopted in Maryland.

By using Smart Signing, you acknowledge and agree that:

• Your electronic signature carries the same legal effect and enforceability as a handwritten signature to the extent permitted by applicable law
• You are responsible for ensuring that all parties to a document have consented to the use of electronic signatures
• OnadaDocs's audit trail records are the authoritative record of the signing event; you must not alter or falsify audit trail data
• We do not provide legal advice on the validity of any particular document or electronic signature; consult qualified legal counsel for legal matters

8. Privacy

Your use of OnadaDocs is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our collection and use of your data as described in the Privacy Policy.

9. Third-Party Services and Integrations

OnadaDocs may integrate with or link to third-party platforms. These integrations are governed by the terms and privacy policies of the respective third parties. Onada Innovative LLC does not endorse and is not responsible for the availability, content, or practices of third-party services. Your use of third-party integrations is at your own risk.

10. Platform Availability and Modifications

We strive to maintain high availability of OnadaDocs; however, we do not guarantee uninterrupted, error-free access to the Platform. We may temporarily suspend access for scheduled maintenance, emergency repairs, or events beyond our reasonable control.

We reserve the right to modify, update, enhance, or discontinue any feature or aspect of the Platform at any time. For material changes that affect your use of paid features, we will provide advance notice where reasonably practicable.

11. Disclaimers of Warranties

The Platform and all services are provided "as is" and "as available," without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, Onada Innovative LLC disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or free from harmful components. AI-generated content is provided without any warranty of legal accuracy, completeness, or fitness for any specific use.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Onada Innovative LLC and its members, managers, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunity, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for all claims arising under or related to these Terms or the Platform shall not exceed the greater of: (a) the total fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred US dollars ($100.00).

Some jurisdictions do not allow certain limitations on liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Onada Innovative LLC and its members, managers, officers, employees, agents, and successors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• • Your access to or use of the Platform
• • Any User Content you upload, create, or transmit through the Platform
• • Your violation of these Terms
• • Your violation of any applicable law or the rights of any third party, including intellectual property or privacy rights
• • Any fraudulent or forged document created using OnadaDocs

14. Termination

14.1 By You

You may cancel your account at any time through your account settings or by contacting us at support@onadadocs.com. Cancellation takes effect at the end of the current billing period for paid plans. Prepaid fees are non-refundable unless otherwise required by applicable law.

14.2 By Us

We may suspend or terminate your access to OnadaDocs at any time, with or without prior notice, if: (a) you breach these Terms; (b) we are required to do so by law; (c) your account poses a security risk; or (d) we discontinue the Platform. We will provide advance notice of termination where reasonably practicable, except where immediate termination is necessary to protect the Platform or other users.

14.3 Effect of Termination

Upon termination of your account, your right to access and use OnadaDocs immediately ceases. We will delete your account data within 30 days of termination in accordance with our Privacy Policy, except where longer retention is required by law. Termination does not relieve you of obligations incurred prior to the termination date.

14.4 Survival

The following sections shall survive termination of these Terms: Section 6.3 (Our Intellectual Property), Section 11 (Disclaimers), Section 12 (Limitation of Liability), Section 13 (Indemnification), Section 15 (Governing Law), and any other provisions that by their nature should survive.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland and the applicable federal laws of the United States of America, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform that cannot be resolved through good-faith negotiation within 30 days shall be subject to binding arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings conducted in the State of Maryland. Nothing in this section prevents either party from seeking emergency injunctive or equitable relief from a court of competent jurisdiction.

To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Onada Innovative LLC.

16. Amendments to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date above and, where warranted, by sending notice to the email address associated with your account. Changes become effective on the date posted unless otherwise stated. Your continued use of OnadaDocs after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Platform and may cancel your account.

17. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy and any supplemental terms applicable to specific features or services, constitute the entire agreement between you and Onada Innovative LLC regarding OnadaDocs and supersede all prior agreements on the same subject matter.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms at any time does not constitute a waiver of that right or provision.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may freely assign our rights under these Terms without restriction.

Force Majeure: We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, pandemics, war, civil unrest, telecommunications failures, or government action.

No Agency: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Onada Innovative LLC.

Notices: All legal notices to us must be sent in writing to legal@onadateam.com. We may provide notices to you via the email address on your account or via posting on the Platform.
